Outsourcing
in India :-
Introduction:
This
is a brief memo that delineates various services which, Infoscribe
India offers. One must bear in mind that legal outsourcing
is materially different from other branches of the outsourcing
industry. Largely outsourcing industry has offered very basic
documentation service. Converting large volumes of documents
into electronic manuals and transcription of recorded oral
dictation. Legal outsourcing is really the evolution of this
mammoth industry. This is because the services that we will
provide will requires analytical and legal skills and not
just basic documentation/secretarial skills. |
Any
midsize corporation or a law firm has a huge requirement of
cost effective labour, which can process large volumes of
legal documents for them. Increasingly companies are becoming
highly critical about legal costs, which is adding pressure
on law firms and corporations to cut down their costs while
providing legal services. Outsourcing is the solution to this
problem. It cuts costs but does not compromise on quality.
The following is a list of services which we provide, and
hence, we offer great service at a great value. |

Due Diligence - Virtual Data Room
In
every merger and acquisition lawyers have to go through reams
of paper and volumes of data to check the legal and financial
health of a company that is being acquired. Most of the data
is now put up on the internet and a virtual data room is created.
Lawyers in Infoscribe India can (not only set up these data
room if acting for the vendor) but can also access the data
in these virtual rooms and do the due-diligence that is required
to be done for the purchasers. For example a company may have
800 various supplier agreements that needs to be examined
to check that all are in force and do not have a ‘change
in control ’ clause. Moreover, that none of contracts
are such that the company is locked in for more than 5 years.
Company books have to be checked. Board minutes for the last
5 years have to be carefully checked to ensure that there
are no major issues which the purchaser should know about.
Junior lawyers who charge on an hourly basis usually spend
weeks and months going through such data. Our Lawyers in India
can easily do this working in two shifts and prepare due diligence
reports in a fraction of the time and cost. |

3.
Proof reading documents
In
transactional work lawyers require that documents that they
draft should be carefully proof read. Ensure that no term
is used that is not defined properly in the document. Check
whether cross-referencing works. These documents are lengthy
and can take time to check. Lawyers and legal departments
of companies can easily forward these documents to us, at
the end of the day. These will be carefully checked and they
will have it on their desk by next morning. Firms hire a large
number of paralegal to do this job. Sending it to us will
ensure that high quality is maintained at a fraction of the
cost. |

4.
Discovery in Litigation
During
litigation it is always the case that before the trial commences
lawyers have to go through huge volumes of data as part of
disclosure and discovery of evidence. For example lawyers
have to find after going through 1000 emails whether there
is any one email where Mr. Bloggs admits that he was negligent.
Moreover, is there any correspondence where their clients
have promised to pay? This is time consuming but if outsourced
to us, it can be done by lawyers working in two shifts at
a fraction of the cost.

A change in control clause is one that states that if the

is not enforceable. |
